Terms Of Service

These Terms explain how you may use Vritul Pty Ltd's website and services, and how project work is handled unless a separate written agreement says otherwise.

  • Introduction:

Welcome to Vritul Pty Ltd. By accessing our website, submitting an enquiry, or engaging our services, you agree to these Terms. Please read them carefully before using our website or starting work with us.

  • Use of Website and Services:

You may use our website and services only for lawful purposes. You must not misuse, disrupt, attempt to gain unauthorised access to, scrape, spam, reverse engineer, or interfere with our website, systems, content, forms, or services.

  • Services and Proposals:

We provide website, digital product, automation, design, consulting, and related services. Any project scope, deliverables, fees, timeline, payment terms, support terms, and special conditions will be set out in a proposal, quote, statement of work, invoice, or written agreement. If there is a conflict, the written project agreement takes priority over these Terms for that project.

  • Client Responsibilities:

You are responsible for providing accurate information, approvals, content, access credentials, feedback, and any materials needed for the work. You must have the rights to provide any text, images, data, brand assets, or other materials you give us.

  • Payments:

Fees, deposits, milestones, retainers, expenses, taxes, and payment due dates are set out in the relevant proposal or invoice. Work may be paused if payments are overdue. Unless agreed in writing, fees already paid for completed work, booked production time, or third-party costs are not refundable.

  • Timelines and Changes:

We aim to meet agreed timelines, but timing can be affected by approval delays, late content, third-party services, technical constraints, or changes in scope. New requests outside the agreed scope may require a revised quote, timeline, or written approval before work continues.

  • Intellectual Property:

You retain ownership of content, data, and brand materials you provide. Unless agreed otherwise, we retain ownership of our pre-existing code, tools, templates, systems, know-how, processes, and reusable components. After final payment, you receive the agreed rights to use the final deliverables for your business.

  • Third-Party Services:

Projects may rely on third-party platforms such as hosting, domains, email, analytics, payment providers, APIs, plugins, AI services, or other software. Those services are governed by their own terms, pricing, availability, privacy, and security practices, and you are responsible for fees or accounts unless agreed otherwise.

  • Content and Accuracy:

We may help structure, edit, or publish content, but you remain responsible for checking factual accuracy, legal compliance, claims, pricing, offers, regulatory statements, and permissions before launch or publication.

  • Warranties and Disclaimers:

We provide our website and services with reasonable care and skill, but we do not guarantee uninterrupted operation, specific search rankings, revenue outcomes, lead volumes, platform availability, or that every third-party integration will remain available or unchanged.

  • Limitation of Liability:

To the extent permitted by law, our liability is limited to the amount paid to us for the relevant service that gave rise to the claim. We are not liable for indirect loss, loss of profit, loss of revenue, loss of data, business interruption, or third-party service failures.

  • Termination:

Either party may end a project according to the relevant written agreement. We may suspend or stop access to services if these Terms are breached, payments are overdue, or continuing the work creates legal, security, operational, or reputational risk.

  • Privacy:

Our Privacy Policy explains how we collect, use, disclose, and protect personal information. By using our website or services, you agree that personal information will be handled as described in that policy.

  • Governing Law:

These Terms are governed by the laws of Victoria, Australia. The parties submit to the courts of Victoria and any courts that may hear appeals from those courts.

  • Changes:

We may update these Terms from time to time. The latest version will be published on this page with the effective date below. Continued use of our website or services after an update means you accept the updated Terms.

  • Contact:
